Terms of Service

By accessing or using zerentry ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

If you do not agree to these terms, do not use the Service.

zerentry is an AI-powered document management and accounting automation platform that provides:

• ·Document upload, OCR processing, and data extraction
• ·Automated classification and metadata generation
• ·Semantic search across your document library
• ·Integration with third-party accounting software (Xero, QuickBooks)
• ·Team collaboration and audit logging

You must create an account to use most features of the Service. You are responsible for:

• ·Providing accurate and complete registration information
• ·Maintaining the security of your account credentials
• ·All activity that occurs under your account
• ·Notifying us immediately of any unauthorized access at contact@zerentry.com

zerentry offers free and paid subscription plans. By subscribing to a paid plan:

• ·You authorize us to charge your payment method via Stripe on a recurring basis
• ·Subscriptions renew automatically unless cancelled before the renewal date
• ·You may cancel at any time — access continues until the end of the current billing period
• ·We do not offer refunds for partial periods, except where required by applicable law
• ·We reserve the right to change pricing with 30 days' notice

You own your data. Documents you upload and metadata extracted from them remain yours.

• ·We do not use your documents or extracted data to train AI models
• ·We do not share your data with other customers
• ·You grant us a limited license to process your data solely to provide the Service
• ·Upon account deletion, your data is removed within 90 days

You agree not to use the Service to:

• ·Upload, process, or store illegal content or documents obtained unlawfully
• ·Attempt to gain unauthorized access to other accounts or systems
• ·Reverse engineer, decompile, or disassemble any part of the Service
• ·Resell, sublicense, or commercially exploit the Service without written permission
• ·Circumvent usage limits, quotas, or rate limits
• ·Use the Service for any purpose that violates applicable law

We reserve the right to suspend or terminate accounts that violate these rules.

The Service allows you to connect third-party accounting tools (Xero, QuickBooks). By connecting these integrations:

• ·You authorize zerentry to access and transmit data to those services on your behalf
• ·Your use of those services is governed by their respective terms and privacy policies
• ·zerentry is not responsible for errors, outages, or data loss caused by third-party services

zerentry and its licensors own all rights in the Service, including the software, AI models, trademarks, and design. Nothing in these terms transfers any IP rights to you.

You may not use the zerentry name, logo, or branding without prior written consent.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

• ·The Service will be uninterrupted, error-free, or secure
• ·OCR extraction or AI classification results will be 100% accurate
• ·The Service will meet your specific accounting or compliance requirements

Always verify extracted financial data before submitting it to accounting systems.

To the maximum extent permitted by Swiss law, zerentry's total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

You agree to indemnify and hold harmless zerentry and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

Either party may terminate the relationship at any time:

• ·You may delete your account at any time from the account settings
• ·We may suspend or terminate your account for violation of these terms, with or without notice
• ·Upon termination, your right to use the Service ceases immediately
• ·Sections 5, 8, 9, 10, and 11 survive termination

These terms are governed by the laws of Switzerland, without regard to conflict of law principles.

Any dispute arising from these terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Switzerland.

For users in the European Union, mandatory consumer protection provisions of your country of residence may also apply.

We may modify these Terms at any time. We will notify you by email at least 30 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated terms.

If you do not agree to the updated terms, you must stop using the Service and may delete your account.
